Terms & Conditions

These Terms & Conditions (the “Terms”) form a binding legal agreement between you and MTK Trade LTD, UIC 204369776, with registered office at bul. Maria Luiza 105, Sredets District, Sofia 1202, Bulgaria (“Zendo”, “we”, “us”, or “our”), governing your access to and use of the Zendo online platform (the “Platform”).
By creating an account or otherwise using the Platform, you confirm that you have read, understood, and accepted these Terms in full, including the disclaimers and liability limitations in Sections 6, 9 and 12. If you do not accept the Terms, do not use the Platform.
1. Definitions
- “User” — any person who registers for or uses the Platform.
- “Medic” — a User who registers in the role of medical professional and offers services through the Platform.
- “Organizer” — a User who registers in the role of event organizer and posts events seeking medical personnel.
- “Event” — a listing posted by an Organizer on the Platform.
- “Engagement” — any agreement, arrangement, or relationship that arises between an Organizer and a Medic in connection with an Event, whether or not formalised in writing.
2. Eligibility and account
- You must be at least 18 years old and legally capable of entering into binding contracts.
- You must provide accurate, current, and complete information when registering and keep it up to date.
- By registering, you agree that we may send you service communications required to operate your account (e.g., email verification, security alerts, application status). With your separate opt-in, we may also send SMS or other phone notifications about Platform activity, which you can withdraw at any time in your profile settings. Our use of your contact details is described in the Privacy Policy.
- You are responsible for safeguarding your password and for all activity that occurs under your account.
- You must not transfer your account, impersonate another person, or create accounts using automated means.
- We may suspend or terminate accounts that violate these Terms or applicable law, with or without notice.
3. Role of the Platform
The Platform is a passive online venue. We allow Organizers to publish Event listings and Medics to publish profiles and apply to Events.
- We are not a party to any Engagement between an Organizer and a Medic.
- We are not an employer, agent, joint employer, subcontractor, principal, partner, or representative of any User.
- We are not a healthcare provider and do not deliver medical services.
- We are not a recruitment or staffing agency, do not select or place personnel, and do not guarantee that any Medic will accept an Event or that any Organizer will engage any Medic.
4. Limited admission review; no verification or endorsement
To maintain a basic level of marketplace integrity, Zendo asks Medics to upload credential-related documents during signup. Zendo's administrators conduct a brief visual review of those documents before granting the Medic access to the marketplace functionality of the Platform. This process is referred to in these Terms as the “admission review”.
An admission review may result in one of three outcomes, at Zendo's sole discretion: (i) approval, granting the Medic access to marketplace functionality; (ii) a request for changes, in which Zendo asks the Medic to upload additional or replacement documents before access is granted; or (iii) rejection, in which the application is refused and the Medic cannot resubmit documents through the Platform. A rejection is final. A Medic who believes a rejection was made in error may contact mtk-trade@abv.bg to request a manual review, but Zendo is under no obligation to overturn the decision and may refuse to engage further at its sole discretion.
Verification documents are deleted from Zendo's storage when an admission review concludes (whether by approval or rejection). They are retained only while a review is in progress (status “pending” or “changes requested”). The audit log of the decision (who reviewed, when, and the recorded reason) is retained separately as described in the Privacy Policy.
5. Organizer obligations
By posting an Event or engaging a Medic, the Organizer agrees that they:
- Are solely responsible for independently verifying the identity, medical qualifications, professional licensure, certifications, background, references, malpractice insurance, and overall fitness of any Medic before allowing them to perform any service. Zendo's admission review is not, and may not be relied upon as, a substitute for this verification.
- Are solely responsible for ensuring the Event complies with all applicable laws, regulations, permits, health-and-safety standards, insurance requirements, and contractual obligations of the venue.
- Are solely responsible for the on-site supervision of medical personnel, provision of appropriate equipment and medications, coordination with public emergency services, and the response to any medical incident or emergency at the Event.
- Are solely responsible for determining the correct legal classification of the Medic (employee, independent contractor, self-employed, etc.) under applicable labour, tax, and social-security law, and for the related declarations and contributions.
- Indemnify, defend, and hold Zendo harmless from any claim, damage, fine, loss, or liability arising out of or related to an Engagement or Event, except to the extent caused by Zendo's wilful misconduct.
6. Medic obligations
- Medics warrant that all credentials, qualifications, documents, and statements published on their profile, submitted to Zendo as part of the admission review, or shared with Organizers are accurate, current, lawful, authentic, and held by them personally. Submission of false, forged, expired, or misrepresented documents is grounds for immediate termination of the account and may be reported to relevant regulators or authorities.
- Medics must hold and maintain all licences, registrations, certifications, and insurance required to lawfully practise in the jurisdiction of the Event.
- Medics must independently assess whether they have the competence, equipment, and fitness to perform a given Engagement and must decline any Engagement they are not qualified or fit to perform.
- Medics remain solely responsible for the medical decisions they make and the care they provide (or fail to provide) during an Engagement.
- Medics must comply with all applicable medical, professional, ethical, employment, tax, and data-protection laws.
7. Fees and payments
- Posting an Event on the Platform requires payment of a Platform fee, calculated and displayed before checkout. Payments are processed by Stripe.
- The Platform fee covers the use of the Platform only. Payments due from Organizers to Medics for performing an Engagement are arranged and paid directly between the Organizer and the Medic outside the Platform. Zendo is not responsible for collecting, remitting, or guaranteeing any such payment.
- You authorise Stripe to charge the payment method you provide and agree to Stripe's own terms of service.
- All Platform fees are stated in the currency shown at checkout and are inclusive of VAT where applicable. We will issue an electronic receipt or invoice as required by Bulgarian accounting law.
8. Refunds and cancellations
- Platform fees paid for an Event are refundable only at our discretion and only where the Platform itself failed to deliver the listing service (e.g., a technical fault that prevented the Event from being published).
- Where the Event is cancelled by the Organizer before any Medic has been accepted, you may request a credit toward a future Event by contacting mtk-trade@abv.bg.
- As an EU consumer paying for a digital service that begins immediately upon checkout, you expressly request the start of performance and acknowledge that you waive the 14-day right of withdrawal once an Event becomes visible to Medics, in accordance with Art. 16(m) of Directive 2011/83/EU.
- Sums owed by an Organizer to a Medic (or vice versa) are not handled by Zendo and are not subject to this clause.
9. Disclaimers and limitation of liability
10. Indemnification
You agree to defend, indemnify, and hold harmless Zendo, MTK Trade LTD, and its directors, officers, employees, contractors, agents, and successors from and against any and all third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- your use of the Platform;
- your breach of these Terms or any applicable law;
- any Engagement, Event, or interaction with another User;
- any content or representation you publish on or through the Platform;
- any act or omission of yours that results in injury, death, damage, or financial loss to any person.
11. Ratings, reviews, and user content
- Reviews must be truthful, based on genuine experience, and respect third-party rights. You retain ownership of content you submit, but grant Zendo a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, display, reproduce, and distribute it for the purpose of operating the Platform.
- We may remove or edit content that, in our reasonable judgment, violates these Terms, applicable law, or the rights of others.
- Ratings are User opinions and do not constitute a recommendation, endorsement, or guarantee by Zendo.
12. Acknowledgement of medical-emergency risk
13. Prohibited conduct
You must not:
- misrepresent your identity, credentials, qualifications, or insurance;
- use the Platform to facilitate any illegal activity, fraud, or breach of medical ethics;
- circumvent the Platform's fee structure (e.g., by contacting Users discovered on the Platform with the intent of avoiding fees on a future Engagement);
- harvest data about Users, scrape the Platform, or interfere with its operation;
- upload viruses, malicious code, or content that is unlawful, defamatory, harassing, discriminatory, sexually explicit, or infringing.
14. Intellectual property
Zendo, the Zendo name and logo, the “Clinical Atelier” tagline, and all related marks, software, design elements, and databases are the property of MTK Trade LTD or its licensors. You are granted a limited, revocable, non-transferable licence to access and use the Platform for its intended purpose; no other rights are granted.
15. Termination
You may close your account at any time. We may suspend or terminate your account at any time, with or without cause, including for breach of these Terms, fraud, or activity that creates risk for other Users. Sections that by their nature should survive (including 6, 9, 10, 12, 16, and 17) will survive termination.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of Bulgaria, without regard to its conflict-of-laws rules. The mandatory consumer protections of your country of residence remain available to you where applicable.
Any dispute, controversy, or claim arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Sofia, Bulgaria, except where mandatory consumer law grants you the right to bring proceedings in your country of residence.
Consumers may also access the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
17. Changes to the Terms
We may modify these Terms from time to time. Material changes will be notified by email and through a notice on the Platform at least 14 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not accept the changes, you must stop using the Platform and may close your account.
18. Miscellaneous
- If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
- Our failure to enforce a right under these Terms does not constitute a waiver of that right.
- You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms to an affiliate or successor.
- These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zendo regarding the Platform.
